Did I miss the info about the breakfast place Woods was asking about or the Salsa dancing Miller was asking about, I so want to know about both of those things in WPB.

I was extremely proud to be a part of a community where the support for WOWps was not limited to the women. Thank you for those who came out, participated, supported, contributed to an event that specifically identifies Women as the focus but were not deterred simply because of that fact.

We've done an annual W&YI, Treetop Poetry Slam Festival (Flagstaff, AZ), that's considered a regional thing and we've added an Individual competition this year. It happens usually in March.

The '09 Slam Team representing Phoenix - qualifying & selection
The '09 Slam Team will consist of those top placing poets in the Phoenix Poetry Slamoff, but first there is the qualifying for entry into the Slamoff:

January 11th marks the beginning of the slam-qualifying season for the chance to represent Phoenix at Poetry Slam, Inc.’s (PSI) annual team poetry slam tournament, known as the National Poetry Slam. Earning points for qualification is done by entering a Downtown Poetry Slam between Jan. 14th & April, 30th, 2009. Higher points are earned by placing 1st, 2nd or 3rd at each slam, otherwise one point is attributed to each competing poet that didn't place that night and also one point to the host & bout manager. Downtown Poetry Slams at the Fair Trade Café, between January & April, are opportunities to earn points. The Downtown Poetry Slam happens the 2nd & 4th Wednesday of the month and points earned will be posted on MySpace.com/azphoenixslam, ongoing, until the end of the season.

Those with the highest total accumulated points qualify to compete at the Phoenix Poetry Slamoff in May to determine the ’09 slam team traveling to Florida in August to compete at PSI’s National Poetry Slam. Individuals will be notified by email of their qualified entry into the Phoenix Slamoff. The Downtown Poetry Slam is an open slam and a PSI registered venue. Any questions or concerns are required to be brought to both Slammasters for immediate attention.

How I understand the by-laws is:

Jill is Pres.
Jack is VP
Jamie is Secretary and Treasurer
John is a trustee
Jim is a trustee
Julian is a trustee

Total voting members of the EC is 6 as afforeded by the following, Article 4 Section 1: "Any two or more offices may be held by the same person." 

But you're forgetting about Joanna, who is also a trustee (and a voting EC member), but not an officer.

Ahha! Yes in Article III it states "shall be 7", shall is the important word. I missed the following (see italics below) which is demonstrated by Joanna however by-laws specifically stating 3 (see bold below) limits trustees to three, maybe. This is a detail that could be argued; the whole Joanna may or may not be able to hold another "trustee" position but all the same the title can change but the purpose/responsibility remains.

ARTICLE IV
Officers
Section 1. Number. The officers of the corporation shall be a president, a vice-president, a secretary and a treasurer and three trustees, as well as other additional officers whose titles and duties shall be determined by the Executive Council.

I have to say Delrica I appreciate the willingness to go into details in this endeavor. I do this kind of thing for work (wrtiting P & Ps, internal auditing, contracts, etc.- you know the exciting reading/writing) and most are big-picture kind of people. Thank you.

Sometimes when the practice is so well known within an organization by-laws, policies & procedures, operation manuals, etc. are not consistent with the practice.

I don't have a motion or suggestion as of yet of how to clarify Article III. The previous posts were to outline what someone with new eyes saw when reviewing the by-laws, specifically Article III, to generate discussion and solution/suggestion/motion to address the confusion in this Article.

Executive Council Members

Section    3.  Election and Term of Directors.  Election and Term of Directors. Each Executive Council member, excluding the Executive Director, the immediate past director of the National Poetry Slam, the current director of the National Poetry Slam, the immediate future Director of the National Poetry Slam, the immediate past director of the Individual World Poetry Slam, the current director of the Individual World Poetry Slam and the immediate future Director of the Individual World Poetry Slam
Article 3 is titled Executive Council Members and through out the Article there is the back an forth use of EC member and director and a capitalized Director. It’s confusing.

Article 3 Section 3 is titled “Election and Term of Directors” then goes on to talk specifically by title about the election and term of each member of the E.C. but never clarifies that each member is a “director” Article 3 alludes to the make up of the EC being directors by the title of the Section but the actual word "director" is only mentioned through out Article 3 Section 3 and the by-laws when referring to the NPS & iWPS directors (sometimes capitalized sometimes not) and the Executive Director and always as part of job titles. Section 3's title is the only exception. Then Article 6 comes along.

Article 6 Section 1 defines “volunteer director” (with the omission of the iWPS directors) as all those on the EC thus making EC member and director interchangeable. Article 3 is EC specific and does not include a definition nor the direct connection between each EC member being also a director. Article 3 is confusing in this aspect until one reads Article 6 and infers.

I say infer (see below for the quoted definition) because it is gray if the definition is for “volunteer director” or “director”. If any of the individuals listed in the Article 6 "volunteer director" definition receives salary or wages of an excess of $100 I am assuming the “volunteer” qualifier drops and the definition remains to list every EC member as a director, at least for the purposes of these by-laws.

Section    9.  Quorum of Slammaster Council.  At least fifteen cities must be represented at Slammaster Council meetings (either through personal attendance or through letters of proxy) for official business to be conducted. The act of the majority of the Slammasters present at a meeting at which a quorum is present shall be the act of the Slammaster Council.

Fifteen cities represented at a SM council meeting with current number of certified venues being 107 (minus repeat city venues -15 = 92) a majority vote represents 8.72% of certified venues/slam community. At minimum, 8.72% of the SM council could/are able to act for the whole. Interesting.

(On a side note there are 92 cities in the world with PSI certified venues.)
